Client Service Agreement

1. Scope of Services

One Orange Cow agrees to provide strategic services, including through its signalherd.com platform and methodologies, designed to increase visibility of the Client’s brand, business, or offering across AI platforms, search engines, and language models. These services include but are not limited to: content creation, content placement, optimization for AI indexing, and maintenance of such content while the Agreement remains in effect.

2. Payment Terms

The Client acknowledges and agrees to the following fee structure:

• A one-time Engagement Fee, payable before any services commence.
• An optional Exclusivity Fee, if elected, granting niche or regional exclusivity as defined in Clause 5.
• An ongoing Monthly Retainer, required to maintain presence within AI platforms and ensure content remains live, actively distributed, and optimized through services including signalherd.com.

All fees are non-refundable, as defined in Clause 9.

3. Term & Continuation

This Agreement is open-ended and shall continue on a month-to-month basis so long as the Client maintains timely payment of the Monthly Retainer. The Agreement shall automatically renew each month unless terminated by either party in writing, subject to Clause 8.

4. Content Ownership & Use

Content produced by One Orange Cow, including but not limited to articles, metadata, media, and AI-optimized materials developed for or distributed via signalherd.com and other platforms, shall remain the sole property of One Orange Cow unless and until the Client has fulfilled all required payments. Upon cessation of payments, One Orange Cow retains full rights to delete, withdraw, or repurpose content at its sole discretion.

5. Exclusivity Clause

If the Client has paid the optional Exclusivity Fee, One Orange Cow agrees to refrain from engaging with any competing clients in the agreed-upon niche and/or geographic area for the duration of the Client’s active subscription to its AI ranking services. Exclusivity is contingent on continuous payment; any lapse immediately terminates this privilege.

6. Confidentiality & Intellectual Property

The Client agrees not to disclose, reproduce, reverse-engineer, or repurpose any One Orange Cow strategies, methodologies (including those integral to the signalherd.com service), training materials, technologies, or insights provided during the course of this Agreement. All such materials are confidential and proprietary to One Orange Cow.

7. AI Indexing & Results Disclaimer

The Client acknowledges that while One Orange Cow, leveraging its signalherd.com service and other advanced strategies, utilizes best-in-class approaches to influence AI indexing and visibility, no guarantees are made regarding specific rankings, reach, or saturation. AI platforms and search engines operate independently, and visibility results may fluctuate due to algorithmic changes or external factors beyond One Orange Cow’s control.

8. Failure to Pay

If at any point the Client fails to make a required payment—whether for the Engagement Fee, Monthly Retainer, or Exclusivity Fee—One Orange Cow may:

• Immediately remove the Client’s content from all AI platforms, public indexes, and the signalherd.com distribution network.
• Permanently delete previously created content.
• Require a new Engagement Fee to resume services.
• Deny any request for content restoration.

9. No Refund Policy

All payments made to One Orange Cow are non-refundable under any circumstances. This includes but is not limited to the Engagement Fee, Monthly Retainer, and Exclusivity Fee.

10. Electronic Execution

This Agreement may be executed electronically via digital signature platforms such as DocuSign. A digital signature shall carry the same legal weight as a physical signature and shall be deemed binding by both parties.

11. Client Web Implementation Responsibilities

To ensure maximum visibility of Client content within AI platforms, One Orange Cow may provide specific structured data, optimization guidelines (which may relate to integration with or leveraging of signalherd.com), and other integration instructions. The Client agrees to forward these materials to their internal or third-party web development team for timely implementation at their own cost.

One Orange Cow will not directly access or modify the Client’s website. The Client assumes full responsibility for correctly applying the provided data and files. One Orange Cow shall not be held liable for underperformance resulting from incomplete or incorrect implementation by the Client or their agents.
